PRIVACY POLICY

1. THE ORDER MANAGEMENT
   1. Upon agreement all orders will be received by Kariakoo Mall direct from the customers, and the vendor’s confirmation will be required for order completion.
   2. The vendor shall provide warehousing service to the Kariakoo Mall even if there will be a bulk purchase, they shall with honesty and integrity store purchased products until the last piece of the product.
   3. All orders from Kariakoo Mall to the or vendor shall be in terms of quotation and shall provide the invoice for all the orders.
   4. All Orders for Goods and Services shall be deemed to be acceptance of the agreement pursuant to these Terms and Conditions.

1. PRICE AND PAYMENT
   1. The price for the Goods and Services shall be provided in details to all additions and deductions to the Kariakoo Mall, e.g of VAT and any applicable charges outlined in the agreement.
   2. Payment of the price shall be in the manner specified in the agreement.
   3. If the vend fails to make any change in price change within 3 days of it after change and the customer reach the unchanged price, Kariakoo Mall shall be entitled to charge the interest regarding the available difference rate at the current base rate.
   4. All risk in the Goods shall pass to the Kariakoo Mall upon delivery.

1. DELIVERY
   1. Kariakoo Mall will be responsible for the delivery of products from the vendor’s store to the customer or Kariakoo Mall offices however  can deliver the product from their store to Kariakoo Mall Offices. Time for delivery shall not be of the essence of the contract and the Kariakoo Mall shall not be liable for any loss, costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of the goods from ’s store to our offices. The order may be cancelled upon delayed response

1. VENDOR'S OBLIGATIONS

To enable Kariakoo Mall to perform its obligations the vendor shall:

1. 1. co-operate with the Kariakoo Mall;
   2. provide Kariakoo Mall with any information reasonably required by the Kariakoo Mall;
   3. obtain all necessary permissions, licenses and consents which may be required before the commencement of the services, the cost of which shall be the sole responsibility of the vendor; and
   4. comply with such other requirements as may be set out in the Proposal or otherwise agreed between the parties.

1. VENDOR'S OBLIGATIONS
   1. The warrants that the Goods will at the time of delivery correspond to the description given by the vendor.
   2. The vendor shall perform the Services with reasonable skill and care and to a reasonable standard in accordance with recognised standards and codes of practice.
   3. The vendor accepts all responsibility for the condition of tools and equipment used in the performance of the Services and shall ensure that any materials supplied shall be free of defects.

1. CANCELLATIONS AND REFUNDS FOR GOODS ONLY
   1. Where the Goods are faulty or do not comply with any of the contract, the Kariakoo Mall will notify the vendor within 7 days of delivery and return the Goods to the vendor within 7 days of notifying the vendor. Once the vendor has confirmed the Goods are faulty or do not comply with any of the contract the Kariakoo Mall shall be entitled to replacement Goods or a full refund.
   2. If the Goods have been dispatched to the customer, then it will not be possible to cancel the contract subject to clause 9.1.

1. LIMITATION OF LIABILITY
   1. Nothing in these Terms and Conditions shall exclude or limit the liability of Kariakoo Mall for death or personal injury, however Kariakoo Mall shall not be liable for any direct loss or damage suffered by the vendor howsoever caused, as a result of any negligence, breach of contract or otherwise in excess of the price for the Goods and Services.
   2. Kariakoo Mall shall not be liable under any circumstances to the vendor or any third party for any indirect or consequential loss of profit, consequential or other economic loss suffered by the vendor howsoever caused, as a result of any negligence, breach of contract, misrepresentation or otherwise.
   3. For the avoidance of doubt, time shall not be of the essence and Kariakoo Mall shall incur no liability to the Customer in respect of any failure to complete the Services by any agreed completion date.

1. FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.

1. SEVERANCE

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

1. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the law of United Republic of Tanzania and the parties hereby submit to the exclusive jurisdiction of the Tanzania courts.
